Rep Your Roster (“Rep Your Roster”) provides an online service that allows individuals to rent jerseys for their favorite team for any occasion.   Our services are accessible at (the “Site”), mobile applications, and various online tools and services (collectively, the “Service”). If you are accessing the Site on behalf of a company, corporation, or other entity, then “you,” “your,” “Hosts” and “Guests,” as defined below, refer to that entity.         

By accessing or using the Service you agree to comply with and be bound by these terms of use ("Terms of Service" or “Agreement”), whether or not you become a registered user of the Service.  Failure to use the Service in accordance with these Terms of Service and Privacy Policy may subject you to civil and criminal penalties.  

  1. Acceptance of Terms of Service; Changes. Should you NOT accept these Terms of Service, you must neither access nor otherwise use the Service.  Rep Your Roster reserves the right to alter the Agreement at its sole discretion and with reasonable notice of any material changes, except where a legal or administrative reason requires immediate amendment of these terms.  We will notify you of amended terms by posting them to our Service, by email, or any other means we deem appropriate.  Use of the Service after posting of amended terms will be governed by those amended terms.  The then-current Terms will govern any disputes arising before the effective date of the amended terms.
  2. Residency and Age. This Service is intended to be accessed and used by individuals from within United States of America only, and Rep Your Roster disclaims any representations and/or warranties it makes in this Agreement which may apply to individuals who access the Service from other countries.  By accessing and using the Service, you represent, warrant, and affirm that you are at least 18 years of age, an emancipated minor, or have acquired a parent or guardian’s consent.  You hereby affirm that you are, at a minimum and without exception, 13 years old.  The Service is not intended to be accessed or utilized by children less than 13 years of age.  If your use of the Service is illegal or otherwise prohibited in the jurisdiction where you are located, you are prohibited from accessing and utilizing the Service.  If you are accessing the Service on behalf of a corporation or other entity, you represent and warrant that you are authorized to do so.
  3. About the Service. Through the Service, we offer you access to authentic, high-end jerseys of your favorite professional players and teams for rent at a fraction of the price.  Jerseys are available for NFL, MLB, NHL, and NBA teams, and we are always looking to upgrade our inventory.

  2. Renting Your Jersey.
    1. Must Be 18 To Rent. Rep Your Roster has an inventory of Jerseys for both adults and children.  However, we only rent Jerseys to adults, 18 years or older.  By placing an order, you represent that you are 18 years or older and that you are authorized to use the chosen payment method (including, without limitation, credit card) for the purpose of renting your Jersey(s).  Though you must be 18 years or older to place an order, you may rent Jerseys for children of all ages (subject to availability).
    2. Rental Fees. The rental fee (“Rental Fee”) for the Jersey or Jerseys you’ve selected are listed on the Site.  When you place your rental order for a Jersey, you hereby authorize Rep Your Roster to charge your payment card for the Rental Fee and, if applicable, the Insurance Fee. Rep Your Roster will charge your payment card the amount of the Rental Fee and Insurance Fee (if applicable) immediately upon your rental order. If you fail to provide valid credit card information upon your order, then you have three days after your order is placed (or one day before the Jersey is to be shipped, whichever is earlier) to update your credit card information.  If you do not update your credit card information to provide valid payment information, your order will be cancelled and the Jersey will not be shipped.  A reservation of a Jersey on the Site is an order for the rental of that Jersey, regardless of how far in advance that Jersey is reserved. The Rental Fees and any Insurance Fees (as described below) are exclusive of any delivery charges listed on the Site or below, as well as all federal, state and local taxes, fees, or other charges that may be assessed on you, which shall be paid directly by you to Rep Your Roster in connection with your rental. 
    3. Rental Process and Shipping Charges. All orders are expected to be delivered between by 8:00 pm local time on the chosen delivery date. When you rent your Jersey, your Jersey will be delivered in accordance with the following schedule and shipping fees:
      • If you place your order by 12:00 pm CST three (3) business days prior to desired delivery date and your order is less than $30, shipping is a flat rate of $5. If your order is over $30 then shipping is free!;
      • If you place your order by 12:00 pm CST less than (3) business days prior to desired delivery date, you can email us about options or choose express shipping on checkout and pay the appropriate shipping fee;
      1. Rental Period. The standard rental period (“Rental Period”) is 48 hours following the delivery date.  However, at checkout, you have the option to rent the Jersey for an additional day for a $3 extension fee.  You must return the Jersey to Rep Your Roster before the end of the Rental Period.  The specific date and time that the Rental Period ends (the “Return By Date”) will be specifically designated at checkout.
      2. Use of the Jerseys; Insurance. You agree to treat the Jerseys with great care. When renting a Jersey, you may also purchase additional insurance protection to cover minor stains (such as those from spilled drinks or food) (“Spill Insurance”) for a $5 fee (“Insurance Fee”).  If you purchase Spill Insurance, you are still responsible for loss, destruction or damage to the Jerseys due to theft, mysterious disappearance, fire, major stains or any other cause. You should also not wash Jerseys.  If you do not have Spill Insurance and you return a Jersey that is stained or damaged (including by reason of washing the Jerseys directly), then you agree that we shall charge you, and you shall pay, the full cost of the repair and professional cleaning fees.
      3. Replacement Fee. If you return a Jersey that is damaged beyond repair (even if you purchased Spill Insurance), then you agree that we shall charge you, and you shall pay, 115% of the full retail value for the Jersey (the “Retail Value”) set forth on the Site  (the “Replacement Fee”).  At the time of your rental order for a Jersey, you hereby authorize Rep Your Roster to charge your payment card for an amount equal to the Replacement Fee plus applicable sales taxes; provided that Rep Your Roster will only charge your payment card for an amount greater than the Rental Fee as described herein. 
      4. Returning Your Jersey. With delivery of the Jersey, Rep Your Roster will provide you with a pre-paid, pre-addressed mailing envelope as well as instructions for your use in returning the Jersey (“Return Packaging”).  To return your Jersey at the end of the Rental Period, you must return the Jersey(s) by delivering the Jersey in the Return Packaging to a USPS store located in the United States by 12:00 p.m. local time on or before the Return By Date.  If you lose the Return Packaging, simply place the Jersey in comparable packaging and have the Jersey shipped back to Rep Your Roster via the USPS or a similar commercial carrier to:  Rep Your Roster, 115 N Carpenter 306, Chicago, Illinois 60607.  We are not responsible for any personal or other items returned with the Jersey in the Return Packaging.  If you believe you have accidentally or otherwise sent us any such items, please contact Rep Your Roster as soon as you can at  We may assist in attempting to locate such items at your request, but are not obligated to and assume no liability for doing so. 
      5. Late Fees. If you do not return the Jersey by the Return By Date (in accordance with the above), you will incur a late fee equal to $5 per day the Jersey is late (the “Late Fee”), for up to a maximum of five (5) days.  The Late Fee is payable for each individual Jersey that is not returned when due (i.e. if you order two Jerseys that are returned one day late, will be charged $5 per jersey for a total of $10). If the Jersey is still not returned after the five (5) day period, your late return will be considered a non-return and Rep Your Roster will charge you the full Replacement Fee (whether or not you eventually return the Jersey following the late period). 
      6. Payment of the Replacement Fee. Rep Your Roster will not charge you for more than an amount equal to Replacement Fee, in the aggregate, for any charges incurred under this Section 5 (excluding collection costs, the Insurance Fee, shipping charges or the Rental Fees).  If Rep Your Roster charges your credit card for an amount equal to the Replacement Fee (pursuant to the terms of this Agreement) and the Jersey is still in your possession, then the Jersey is yours to keep, on an “AS IS” basis without warranty of any kind.  For the avoidance of any doubt, the limitations of this section shall not apply to the Rental Fee, Insurance Fee or shipping charges, which are charged separately from, and in addition to, any other charges payable by you hereunder. 
      7. Limits on Orders. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
        • Renting More than 3 Jerseys. If you rent more than three (3) Jerseys as part of an order, then Rep Your Roster will charge you, upon placing the order, the full Retail Value of the Jerseys ordered as a deposit.  This deposit will be refunded to you, less the Rental Fees, Insurance Fees, taxes, Late Fees, and any other fees or costs you incurred, upon the return of all Jerseys to Rep Your Roster.  All other terms and provisions of this Agreement shall apply.
        1. Collections. If you do not pay the amounts you owe to Rep Your Roster when due, then Rep Your Roster will need to institute collection procedures. You agree to pay Rep Your Roster’s costs of collection, including without limitation reasonable attorneys' fees.
      8. Cancellations. You may cancel your rental order subject to the following cancellation fees and policies:
        • If you cancel three (3) or more days in advance of the delivery date or your jersey has not shipped, there is no cancellation fee and you will receive a full refund issued to the payment card you used for the order.
        • If you cancel after the jersey has shipped, you will receive no refund, and you will be responsible for returning the Jersey at the end of the Rental Period. All other terms and conditions of this Agreement shall apply.
        1. Limited Warranties on Orders. The following are the limited warranties Rep Your Roster provides in connection with your Jersey rentals. These warranties apply only to you and may not be assigned, sold or transferred to any third party. No other warranties are granted by Rep Your Roster in connection with the Services or Jerseys. The limited warranties shall not apply to any matters arising from your violation of these Terms.  Rep Your Roster’s liability to you for failure to comply with any of these warranties is limited to timely delivery of a Jersey conforming to the warranties or a refund of the Rental Fee (excluding insurance and delivery charges) as determined by Rep Your Roster.

          • Correct Products; Out of Stock Items. Subject to availability, we will deliver the Jerseys you ordered, including the specified size, on or before the delivery date for which you ordered them, except in the rare event that the Jersey is damaged beyond repair or there is an occurrence subsequent to the placing of the order that prevents timely delivery (such as the Jersey being out of stock). In such event, we will use reasonable efforts to notify you that the Jersey is unavailable. If we are able to reach you, you will be entitled to choose any available rental Jersey to replace the unavailable Jersey. If we are unable to reach you, you acknowledge and agree that we may provide you credit to rent a Jersey from us in the future (equal to your Rental Fee); or, in our discretion, we may refund you the full cost of the Rental Fee and, if applicable, Insurance Fee. Jerseys may appear different in color and style than as displayed on the Site.
          • Clean and Ready to Wear. The Jerseys will be professionally cleaned and delivered ready to wear. Rep Your Roster professionally cleans and inspects each Jersey, but wearing of the Jersey is at your own risk and Rep Your Roster shall not be held liable for any health-related complaints associated with any Jersey.
        1. User Registration. Although you may browse the Service without registering, you will need to first register with the Service in order to rent a Jersey.    

          To be a registered user of the Services, you hereby agree to: 1) provide true, accurate and complete information (“Registration Data”) as prompted by any Service registration form; and 2) maintain and promptly update your Registration Data to keep it accurate and complete.  Rep Your Roster reserves the right to suspend or terminate your access to and use of the Service, or any portion thereof, on the basis of inaccurate or incomplete Registration Data.

          You may be required to select a username and password when completing the registration process.  You are solely and fully responsible for maintaining the confidentiality of your own username and password, and you are solely and fully responsible for all activities occurring under your username and password.  You may not share your account information, or allow access to your account, by any third party.  You agree to: 1) immediately notify Rep Your Roster of any unauthorized use of your username and password or any other breach of security; and 2) ensure that you log off from your account at the end of each session.  Rep Your Roster shall not be liable for any loss, damage or other liability arising from your failure to comply with this section or from any unauthorized access to or use of your account.        
        1. Acceptable Use Policy.
          1. Your Responsibilities. By registering for, accessing and using the Service, you understand and agree that you are responsible for the following:
            • Your compliance with this Agreement;
            • Taking appropriate security measures to prevent the unauthorized disclosure of your user passwords, login information, or other credentials used to access your account;
            • The accuracy, quality, integrity, legality, reliability, and appropriateness of the content you submit to the Service;
            • Complying with applicable state, federal and international laws, regulations, and ordinances with respect to your use of the Service;
            • All activity that occurs under your account; and
            • Procuring all necessary rights to use any third party software (e.g., web browser), services (e.g., internet access) or equipment that may be needed to use the Service.
          • Restrictions on Use. You further agree not to:
            • Any content or information available through the Service for any unauthorized purpose;
            • use the Service for any purpose in violation of local, state, national, or international law;
            • interfere with or damage the Service including, without limitation, through the use of viruses, spyware, malware, harmful code, flood pings, denial of service attacks, packet or IP spoofing, forged routing, or methods that in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents;
              • collect, store, or distribute any information about any other user other than in the course of the permitted use of the Service;
                • engage in spidering, “screen scraping,” “database scraping,” harvesting of email addresses, wireless addresses or other contact or personal information, or any other automatic means of obtaining lists of users or other information from or through the Service;
                • impersonate any person, company, or entity;
                • restrict or inhibit any other user from using or enjoying the Service;
                • intentionally or unintentionally violate any applicable law or regulation;
                • Send or otherwise transmit to or through the Service chain letters, unsolicited messages, so-called “spamming” or “phishing” messages, or messages marketing or advertising goods and services;
                • modify, sublicense, translate, sell, circumvent, reverse engineer, decipher, decompile, or otherwise disassemble any portion of the Service or any software used on or for the Service; or
                • assist any third party in doing any of the foregoing.
            • Content. The Service allows you to post or submit content to or through the Service including, without limitation, text, messages, files, documents, images, links, or any other information or audiovisual material (“Your Content”).  You are solely responsible for Your Content that you post or submit to or through the Service.

              Rep Your Roster does not monitor or approve content posted or submitted to the Service by any other user; however, Rep Your Roster may, in its sole and unfettered discretion, edit, remove, or delete any of Your Content.

              As a condition of accessing and using the Service, you agree not to post or submit content that:
              • is unlawful, threatening, abusive, libelous, defamatory, slanderous, obscene, vulgar, pornographic, indecent, or would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national, or international law or regulation;
              • violates or infringes upon the rights of others including, without limitation, privacy or publicity rights, intellectual property rights including, without limitation, copyright, patent, trade secret, or trademark rights, or other rights, without first obtaining permission from the owner or rights holder;
              • promotes malice or harm of any kind against any group or individual;
              • solicits user passwords, financial information, or personal identification for unlawful purposes;
              • contains a virus, spyware, malware, or harmful software; or
              • constitutes junk mail, unsolicited mass mail, or spam; or
              • promotes the services of a direct competitor of Rep Your Roster.
              • The foregoing is only a partial list of the kind of Your Content which is prohibited on the Service.  Rep Your Roster reserves the right to investigate and take appropriate action, legal or otherwise, in its sole discretion against anyone who violates this section including, without limitation, removing the offending content from the Service and terminating the violator's Service access.
            1. Content License. By posting or submitting Your Content on the Service, you grant and warrant that you have the right to grant (or have obtained all necessary third party permissions to grant) to Rep Your Roster and its licensees, affiliates, successors, and assigns, a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free, sublicenseable right and license (“License”) to use, reproduce, adapt, modify, distribute, translate, publish, create derivative works based on, perform, display and otherwise exploit Your Content anywhere in the world, in whole or in part, in any media now known or hereafter developed, in connection with the Service.  You also grant all other users of the Service a non-exclusive, irrevocable, worldwide, royalty-free license to access, view, and reproduce Your Content for non-commercial, personal purposes as permitted through the functionality of the Service.  These rights are limited and non-sublicenseable.  You hereby waive, represent, and warrant (“Waiver”) that you have obtained the waiver of any and all moral rights in Your Content that you submit or post on or through the Service including, without limitation, rights of attribution or integrity, and any similar rights in any jurisdiction worldwide.

              You represent and warrant that you have obtained all necessary consent and authority from any individual whose likeness appears in any of Your Content which you post on or submit to the Service to: 1) post and submit such content on or to the Service; and 2) permit Rep Your Roster and its licensees, affiliates, and successors to use such content in accordance with the foregoing License.  You further represent and warrant that Rep Your Roster’s exercise of any of its rights under the license granted hereunder will neither violate nor infringe upon the rights of others including, without limitation, privacy, publicity or intellectual property rights, and complies with all applicable laws and regulations.
            1. Service License. Subject to this Agreement, Rep Your Roster policies, and to the extent permitted under all applicable laws and regulations, Rep Your Roster grants you a limited, non-exclusive, non-transferable, non-sublicenseable and revocable license to access and use the Service for your personal, non-commercial purposes.  
            1. Proprietary Rights. The visual interfaces, graphics, design, compilation, information, computer code, products, software, services, and all other elements of the Service (excluding any licenses granted to Rep Your Roster hereunder by you or third parties) (collectively, “Service Content”) are protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws.  The Service, Service Content, and the media and materials contained therein, are the sole and exclusive property of Rep Your Roster and its licensors.  Unless expressly authorized in this Agreement or in writing by Rep Your Roster, you agree not to sell, license, modify, distribute, reproduce, publicly display or perform, publish, or create derivative works from any Service Content available on the Service.  Reproducing, copying or distributing any Service Content for any other purpose is strictly prohibited without the express prior written permission of Rep Your Roster.  You shall use the Service Content only for purposes that are permitted by this Terms of Service and any applicable laws and regulations.  Any rights not expressly granted herein are reserved.

              Similarly, the marks, logos, and names of Rep Your Roster, used on or in connection with the Service may not be used in connection with any product or service that is not under Rep Your Roster’s ownership or control. Furthermore, such trademarks may not be used in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Rep Your Roster. All other trademarks not owned by Rep Your Roster (or its affiliates) that appear on the Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Rep Your Roster or its affiliates.
            1. Interactions with Other Service Users. You are solely responsible for interactions with other Service users.  Rep Your Roster shall not be responsible for any damage or harm resulting from your interactions with other users of the Service.

              You understand that Rep Your Roster does not screen users.  Rep Your Roster makes no representations or warranties as to user conduct.  Rep Your Roster reserves the right, without obligation, to: 1) monitor all interactions between users; and 2) take any action in good faith to restrict access to or the availability of any Your Content which Rep Your Roster considers prohibited. 
            2. Links. The Service contains links to other internet sites and resources, and you acknowledge and agree that: 1) Rep Your Roster shall not be responsible for the availability of such external sites or resources; and 2) Rep Your Roster does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such services or resources.  You agree that Rep Your Roster shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance upon, any such content, goods or services available on or through any such Service or resource.
            3. Disclaimer. The Service, including, but not limited to the Site and the entirety of its contents, is provided “AS IS” and Rep Your Roster hereby disclaims (except where prohibited by law) all express and implied warranties including, but not limited to, warranties of merchantability, title, non-infringement, and fitness for a particular purpose.  Rep Your Roster expressly disclaims any representation that:

              1. the Service will meet your requirements;
              2. access to the Service will be uninterrupted, timely, secure, or error-free;
              3. any information obtained through or from the Service will be accurate or reliable;
              4. the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet expectations;
              5. any user-provided information will not be disclosed, in the absence of user-provided approval, to third parties; or
              6. any data or software errors will be corrected.

                Rep Your Roster shall not be held responsible for technical malfunctions of any telephone system, cable system, computer equipment, server, provider, or software.  Rep Your Roster shall not be held responsible for any injury or damage to your computer or mobile device resulting from use of the site or service including, but not limited to, web page viewing, file downloading, server use or access, or following Service links.  You access the Service at your own risk and are singularly responsible for any loss, damage, or costs incurred during such activity.  Rep Your Roster shall not be responsible for any incorrect or inaccurate content posted on the Service, regardless of the cause of such inaccuracy.  Rep Your Roster shall not be responsible for any conduct of any user of the Service.  Rep Your Roster shall not be responsible for any error, omission, interruption, deletion, defect, operational delay, communication line failure, or theft, destruction, or alteration of your communication.  No data or information obtained from Rep Your Roster or the Service shall create any warranty.

                The foregoing disclaimers shall not apply to the extent prohibited by applicable law.
            1. Limits on Liability. Rep Your Roster, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, successors, or assigns (“Rep Your Roster Parties”) shall not be liable under any circumstances or under any legal theory, whether in tort, contract, or otherwise with respect to the service,  for any indirect, incidental, special, consequential, or exemplary damages arising from or relating to: 1) the Service’s availability; 2) the acts, omissions, or conduct of any user or third party, whether online or offline; 3) any Service or Your Content; 4) any goods or services acquired as a result of any information obtained or transactions entered into through the Service; 5) Your use of the Jerseys; or 6) any use of goods or services made available on any internet resource or webpage linked through the Service, even if the Rep Your Roster parties have been advised of the possibility of such damages.

              the Rep Your Roster parties’ aggregate liability to you in any matter arising from or related to the Service or the Agreement, shall not exceed the sum of one hundred dollars ($100). 

              some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages.  In such states or jurisdictions, Rep Your Roster’s liability is limited to the extent permitted by law.
            2. Release. In consideration of being permitted to access and use the Service, you hereby agree to release the Rep Your Roster Parties from all damages (whether direct, indirect, incidental, consequential or otherwise), losses, liabilities, costs and expenses of every kind and nature, known and unknown, arising out of or in any way related to disputes between you and third parties (including other Hosts or Guests) in connection with the Service, your access and use of the Service, or the Events. 

              In connection with the foregoing release, you hereby waive California Civil Code 1542 and any other applicable law or statute, which says in substances:

              “A general release does not extend to claims the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”
            1. Indemnification. You agree to indemnify and hold harmless the Rep Your Roster Parties from and against any loss, liability, or expense, including reasonable attorneys’ fees and expenses and court costs, arising out of or related to:  1) any third party claim against any Rep Your Roster Party alleging that Your Content posted or submitted to the Service infringes any of the third party’s rights; 2) your breach of any provision of this Agreement and/or any representation or warranty identified herein; or 3) any cost or expense Rep Your Roster incurs in enforcing this Section.  Rep Your Roster reserves the right to control the defense and settlement of any action or proceeding against any Rep Your Roster Party that you are bound to defend pursuant to the foregoing. 
            2. Termination. Rep Your Roster, in its sole and unfettered discretion, may terminate your access to the Service for any reason including, without limitation, your breach of this Agreement.  You agree that any termination of your access to the Service may be effected without prior notice, and you agree that: 1) Rep Your Roster may immediately deactivate or delete any of your accounts and all related information and files in such accounts; and 2) bar any subsequent access to the Service or Your Content.  You agree that Rep Your Roster shall not be liable to you for any costs or damages of any kind for or resulting from any termination of your Service access.  Rep Your Roster reserves the right to block users from certain IP addresses from accessing the Service.  All provisions of this Terms of Service that by their nature should survive termination of your right to use the Service shall survive (including, without limitation, all limits on liability, releases, disclaimers of warranties, indemnification obligations, and intellectual property protections and licenses).
            3. Discontinuance of Service. Rep Your Roster reserves the right to modify or discontinue, temporarily or permanently, any portion of the Service without prior notice.  You agree that Rep Your Roster shall not be liable to you or to any third party for any modification or discontinuance of any portion of the Service. 
            4. Take-Down Requests, DMCA. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or proprietary information without obtaining the prior written consent of the owner.  If you believe that your work has been copied and posted on the Service in any way that constitutes copyright infringement, please provide our Copyright Agent with the following information:
              • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
              • a description of the copyrighted work that you claim has been infringed;
              • a description of where the material that you claim is infringing is located on the Service (and such description must be reasonably sufficient to enable the Rep Your Roster to find the alleged infringing material, such as a url);
              • your address, telephone number and email address;
              • a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
              • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

            Rep Your Roster will process proper Take-Down Requests, will promptly remove or disable access to any offensive or infringing content, and will terminate the accounts of repeat infringers.

            1. Export Control. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties
            2. Miscellaneous.
              1. Choice of Law. This Agreement will be governed by and construed under the laws of the United States of America and, to the extent not inconsistent therewith, the laws of the State of Illinois without regard to conflicts-of-laws principles that would require the application of any other law. 
              2. For any claim (excluding claims for injunctive or other equitable relief) arising out of the Agreement or the Service (including whether the claims asserted are arbitrable), shall be referred to arbitration to be held in Cook County, Illinois, except those claims that may be asserted in small claims court. Arbitration shall be subject to the Federal Arbitration Act, conducted by the American Arbitration Association (AAA), and governed under AAA’s rules. ANY CLAIMS BROUGHT BY YOU OR REP YOUR ROSTER MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PARTY’S CLAIMS, MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF.

                The arbitrator may award any individual relief or individual remedies that are permitted by applicable law. Judgment on an arbitration award may be entered by any court of competent jurisdiction. The arbitration award shall be confidential and final and binding upon the Parties without appeal or review, except as permitted by Illinois law or United States federal law.

                If for any reason a claim proceeds in court rather than in arbitration, the dispute shall be exclusively brought in a court of competent jurisdiction located in Cook County, Illinois, and the Parties waive any right to a jury trial. The Parties agree that, notwithstanding the above, either Party may bring suit in court to enjoin infringement or other misuse of intellectual property rights. Subject to the arbitration provisions set forth herein, the successful Party in any dispute will be entitled to receive from the unsuccessful Party all reasonable attorneys’ fees, costs, and disbursements.
              3. If any provision – or portion of a provision – of this Agreement is held invalid, unenforceable, or void, the remainder of the Agreement shall remain unaffected and shall continue in full force and effect.
              4. This Agreement does not and shall not be construed to create a partnership or joint venture between the parties hereto.
              5. This Agreement is the entire agreement between the parties hereto, and replaces any and all prior negotiations, representations, or agreements between the parties, whether oral, electronic, or written, pertaining to the managerial relationship outlined herein.  The parties acknowledge that they have not relied on any promise, representation, or warranty, express or implied, not contained in this Agreement.  No waiver or any breach of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach hereof.
